Acceptance of Terms

By accessing or using any product, application, platform, or service operated by Midan Digital ("Midān," "we," "us," or "our") — including anything available at midan.in or associated subdomains — you agree to these Terms & Conditions ("Terms").

If you're accepting on behalf of a company, organisation, or other legal entity, you confirm you have the authority to bind that entity. If you don't agree, please stop using our Services.

About the Company

Midan Digital is a sole proprietorship registered under the Udyam Registration Scheme, based in Hyderabad, Telangana, India. We build software products and digital tools for businesses and individuals.

Services & Accounts

We provide software products, digital platforms, tools, and related services (collectively, the "Services"). The specific features and scope of any Service are described at the point of purchase or within your account. We may update, expand, or discontinue any part of the Services with reasonable notice.

To access certain Services, you'll need to create an account. You agree to:

• Provide accurate and current information at registration and keep it updated;
• Keep your login credentials confidential — you're responsible for all activity under your account;
• Be at least 18 years old, or have the legal capacity to enter contracts in your jurisdiction;
• If acting on behalf of an organisation, have authority to bind that organisation to these Terms.

If you believe your account has been compromised, please contact us at hellomidan@gmail.com immediately. Where a subscription includes multiple users or seats, the account holder is responsible for managing access within their workspace.

Payments & Subscriptions

Access to paid Services is provided on a subscription basis. Pricing, billing cycles, and included features are confirmed at the time of purchase or in your order details.

• Billing — Subscriptions are billed in advance on the agreed cycle (monthly or annual). Amounts are in Indian Rupees (INR) inclusive of applicable GST unless stated otherwise.
• Renewals — Subscriptions renew automatically at the end of each billing period. You can cancel at any time through your account or billing settings — cancellation takes effect at the end of the current period.
• Refunds — We don't offer refunds for partial billing periods. Exceptional circumstances will be reviewed at our discretion.
• Price Changes — We'll give at least 30 days' notice before changing subscription pricing. Continued use after that date means you accept the new price.
• Taxes — You're responsible for any taxes or duties applicable in your jurisdiction beyond those we are required to collect.

Privacy & Data

We take your data seriously. Our practices are governed by the Digital Personal Data Protection Act, 2023 (DPDPA) and other applicable Indian law. Here's what matters most:

• Your data is yours — You retain full ownership of all data, content, and information you upload or generate through the Services ("Client Data"). We process it only to provide and improve the Services.
• No selling, no ads — We don't sell, rent, or share your personal data with third parties for commercial purposes. We are not an advertising platform.
• Data processing — Where we handle data on your organisation's behalf, you (as the subscribing entity) are the Data Fiduciary under the DPDPA, and we act as the Data Processor on your instructions.
• Retention — We retain Client Data for the duration of your subscription and any legally required period thereafter. On termination, your data remains available for export for 30 days, then is deleted from our systems within a further 60 days.
• Anonymised data — Aggregated or de-identified data that cannot reasonably identify you may be used for product improvement and research.

Intellectual Property

All software, design, content, trademarks, and materials that make up the Midān platforms are owned by Midan Digital or our licensors, protected under applicable Indian and international law. This includes our source code, user interfaces, and product design — whether distributed to you, embedded in a page you can view in a browser, or otherwise made technically accessible — none of which is licensed for reuse.

• We grant you a limited, non-exclusive, non-transferable licence to use the Services during your active subscription, for your internal purposes only.
• You may not copy, modify, distribute, sell, sublicense, publicly display source, or reverse-engineer any part of our Services — including by viewing, extracting, or repurposing client-side code (HTML, CSS, JavaScript) served to your browser, or by cloning the look, feel, or functionality of our products for a competing or derivative offering.
• The fact that part of our software is technically visible or inspectable (for example, via a browser's "view source" or developer tools) does not grant any licence to copy, reuse, or build upon it. All rights are reserved.
• You retain full ownership of your Client Data. We only use it to deliver and maintain the Services you've subscribed to.

Acceptable Use

You agree not to use our Services to:

• Violate any applicable law, regulation, or the rights of any third party;
• Upload or transmit content that is unlawful, defamatory, obscene, or harmful;
• Attempt to gain unauthorised access to any Midān system, server, or network;
• Introduce malicious code, viruses, or disruptive software;
• Scrape or systematically extract data from our platforms without our permission;
• Place an unreasonable load on our infrastructure or interfere with service availability for others;
• Misrepresent your identity or affiliation with any person or organisation.

Breaching these rules may result in immediate suspension or termination of your access, without refund. Serious violations may be referred to appropriate authorities.

Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available." We make commercially reasonable efforts to keep things running smoothly, but we don't guarantee that the Services will be uninterrupted, error-free, or perfectly suited to your specific needs.

Our total liability for any claim under these Terms is capped at the fees you paid to Midān in the three calendar months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be excluded under Indian law.

You agree to indemnify and hold Midan Digital harmless from any claims, costs, or losses arising from your misuse of the Services, breach of these Terms, or violation of any applicable law or third-party right.

Suspension & Termination

By You — You can cancel your subscription at any time through your account or billing settings. Cancellation takes effect at the end of the current billing period, and no refunds are issued for time already paid.

By Us — We may suspend or terminate your access if:

• You breach these Terms and don't remedy it within 7 days of being notified;
• Your use poses a security risk, legal liability, or harm to other users;
• Payment is overdue by more than 30 days;
• We're required to do so by law or a competent authority.

On termination: your licence to use the Services ends immediately; your Client Data remains available for export for 30 days before being permanently deleted; any outstanding fees remain payable. Sections on intellectual property, liability, indemnification, and disputes survive termination.

Changes to These Terms

We may update these Terms from time to time as our Services and legal obligations evolve. When we make material changes, we'll notify you by email or via an in-product notice at least 14 days before they take effect, and update the "Effective" date at the top of this page. Continuing to use the Services after that date means you accept the updated Terms.

We recommend checking this page occasionally. Previous versions are available on request.

These Terms are governed by the laws of India. Any disputes will first be addressed amicably; if unresolved within 30 days, they may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, seated in Hyderabad, Telangana. For urgent matters not subject to arbitration, the courts of Hyderabad hold exclusive jurisdiction.
